By accessing our website at navajaies or by engaging Nava Jai for advisory or training services, you confirm that you have read, understood, and agree to these terms. 1. Definitions
"We / Us / Our / Nava Jai" refers to Nava Jai, registered and operating in Bangkok, Thailand (163 Asoke-Din Daeng Road, Din Daeng, Bangkok 10400).
"Service" refers to any advisory, training, or consulting engagement offered by Nava Jai, including the AI Ethics & Responsibility Workshop, AI-Powered Customer Experience Design engagement, and Full-Spectrum AI Capability Building program.
"User / You" refers to any individual or organization accessing our website or engaging our services.
"Agreement" refers to these Terms and Conditions together with any signed service agreement between Nava Jai and the client.
"Content" refers to all materials, documents, tools, frameworks, and deliverables produced by Nava Jai as part of a service engagement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organization, you confirm that you are authorized to bind that organization to these terms.
These terms form the basis of the relationship between you and Nava Jai. For service engagements, a separate written service agreement will be provided prior to commencement, and that agreement supplements these terms.
3. Service Description & Availability
Nava Jai provides AI integration advisory and organizational training services primarily for businesses operating in Thailand. Our services are described on our website and in individual service agreements. Service scope, timeline, and deliverables are confirmed in writing before any engagement begins.
We reserve the right to modify or discontinue any service offering at any time. Changes to ongoing engagements are agreed with the client in writing before taking effect.
Our website is intended for informational purposes and to facilitate enquiries. We do not guarantee continuous, uninterrupted access to the website and are not liable for temporary unavailability.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in all communications and enquiry forms
- Use the website only for lawful purposes and in ways that do not infringe the rights of others
- Not attempt to gain unauthorized access to any part of our website or systems
- Not reproduce, distribute, or commercially exploit any content from our website without prior written consent
- Cooperate with reasonable requests during service engagements, including providing timely access to relevant information and stakeholders
5. Intellectual Property
All content on our website — including text, structure, design, and methodology descriptions — is the intellectual property of Nava Jai and is protected under applicable Thai and international intellectual property law.
Deliverables produced specifically for a client engagement (such as the Responsible AI Principles document or Customer Experience Enhancement Plan) are licensed to that client for their internal organizational use upon full payment. Nava Jai retains the right to use anonymized frameworks, methodologies, and approaches in future work.
General frameworks, training materials, and methodologies developed by Nava Jai remain our intellectual property and may not be reproduced or distributed without written permission.
6. Payment Terms
All fees are quoted and invoiced in Thai Baht (฿). Payment terms are specified in the individual service agreement prior to engagement commencement.
- One-day workshops: Full payment is due before the session date.
- Multi-week engagements: Payment is structured in phases tied to delivery milestones, as specified in the service agreement.
Late payment may result in suspension of service delivery. Nava Jai reserves the right to charge interest on overdue amounts at the rate permitted under Thai commercial law.
Cancellations made with less than 5 business days' notice for workshops, or outside the terms of the service agreement for longer engagements, may incur a cancellation fee as specified in the relevant agreement.
7. Service Delivery Terms
Services are delivered according to the scope, timeline, and milestones defined in the signed service agreement. Any changes to scope must be agreed in writing by both parties before work on the changed scope begins.
Nava Jai will make reasonable efforts to deliver services as planned. Where unforeseen circumstances require rescheduling, we will provide as much advance notice as possible and work collaboratively to find alternative arrangements.
The client is responsible for ensuring that appropriate staff and stakeholders are available and engaged during the agreed delivery schedule. Delays caused by the client's unavailability may affect delivery timelines.
8. Confidentiality
Nava Jai treats all client information shared during an engagement as confidential. We will not disclose client-specific business information to third parties without written consent, except where required by Thai law or regulation.
A formal confidentiality agreement is included as part of all service contracts. Client information is used solely for the purpose of delivering the contracted service.
9. Disclaimers
Our website and services are provided in good faith and to the best of our professional ability. However:
- Nava Jai does not warrant that specific business outcomes, performance improvements, or results will be achieved from engaging our services. AI adoption is complex and outcomes depend on many factors outside our control.
- Information on our website is provided for general guidance only and does not constitute legal, regulatory, or technical advice.
- The AI landscape changes rapidly. While we work to keep our guidance current, we do not warrant that all information on our website reflects the most recent developments at any given moment.
10. Limitation of Liability
To the maximum extent permitted under Thai law, Nava Jai's total liability to a client in connection with any service engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.
Nava Jai shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Nothing in these terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable Thai law.
11. Indemnification
You agree to indemnify and hold harmless Nava Jai, its advisors, and staff from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of our website, or your violation of any applicable law in connection with use of our services.
12. Termination
Either party may terminate a service engagement as specified in the relevant service agreement. Nava Jai reserves the right to suspend or terminate website access or service delivery where a user or client has materially breached these terms.
Upon termination, the client retains rights to deliverables already provided and paid for. Obligations of confidentiality and intellectual property provisions survive termination.
13. Governing Law & Dispute Resolution
These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or from service engagements shall be subject to the jurisdiction of the courts of Bangkok, Thailand.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If resolution is not reached, either party may escalate to formal legal proceedings.
14. General Provisions
Entire Agreement: These terms, together with any signed service agreement, constitute the entire agreement between the parties regarding the subject matter herein.
Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
Waiver: Failure by Nava Jai to enforce any provision shall not constitute a waiver of the right to enforce it in future.
Assignment: You may not assign your rights or obligations under these terms without Nava Jai's prior written consent.
15. Changes to These Terms
We may update these terms from time to time. We will update the "Last Updated" date when changes are made. For active service clients, we will provide reasonable notice of material changes. Continued use of our website after updated terms are posted constitutes acceptance of the revised terms.
